1. Acceptance of Terms

The scope of services for each engagement is defined in separate service agreements, statements of work, or project proposals. These Terms of Service apply to all interactions with our website and govern the general relationship between DataVision AI and users. Specific project deliverables, timelines, pricing, and responsibilities are detailed in individual contracts which supplement these general terms.

3. User Obligations

You agree to use this website and our services only for lawful purposes and in accordance with these Terms of Service. You must not use our services to engage in any activity that violates Canadian federal or provincial laws, international regulations, or the rights of third parties.

Prohibited activities include but are not limited to: scraping or automated data extraction from our website; impersonating DataVision AI or its employees; transmitting malicious code, viruses, or harmful software; attempting unauthorized access to our systems or client data; using our services to develop competing analytics products; or engaging in fraudulent, deceptive, or misleading practices.

Users are responsible for maintaining the confidentiality of any account credentials, API keys, or access tokens provided by DataVision AI. You must notify us immediately of any unauthorized use of your account or security breach. You agree to provide accurate, current, and complete information when submitting forms or engaging our services.

4. Intellectual Property

All content on this website including text, graphics, logos, icons, images, code, software, methodologies, frameworks, and documentation is the exclusive property of DataVision AI or its licensors and is protected by Canadian and international copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use this website for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material from our website without prior written consent from DataVision AI.

Custom analytics solutions, machine learning models, dashboards, and reports developed specifically for clients under service agreements may be governed by separate intellectual property terms defined in those contracts. Pre-existing DataVision AI methodologies, frameworks, tools, and proprietary technologies remain our exclusive property even when incorporated into client deliverables.

5. Disclaimers

This website and all services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. DataVision AI makes no warranty regarding the accuracy, completeness, reliability, timeliness, or suitability of any information, analytics, predictions, recommendations, or content provided through our website or services.

We do not warrant that our services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We make no guarantees regarding specific business outcomes, revenue increases, cost savings, or competitive advantages that may result from implementing our analytics solutions or following our recommendations.

Machine learning models, predictive analytics, and forecasting tools are inherently probabilistic and subject to uncertainty. Model accuracy depends on data quality, market conditions, and numerous external factors beyond our control. Past model performance does not guarantee future accuracy. All analytics outputs should be validated and reviewed by qualified professionals before making business decisions.

6. Limitation of Liability

To the maximum extent permitted by Canadian law, DataVision AI, its officers, directors, employees, consultants, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages including but not limited to loss of profits, revenue, data, business opportunities, or goodwill arising from your use of or inability to use our services.

Our total aggregate liability for any claims arising from or related to our services, whether based in contract, tort, negligence, strict liability, or otherwise, shall not exceed the total fees paid by you to DataVision AI in the twelve months preceding the claim or CAD $10,000, whichever is less.

This limitation of liability applies even if DataVision AI has been advised of the possibility of such damages and regardless of whether any remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so these limitations may not apply to you.

7. Indemnification

You agree to indemnify, defend, and hold harmless DataVision AI, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs including reasonable legal fees arising from your violation of these Terms of Service, your misuse of our services, your violation of any law or regulation, or your infringement of any third-party rights.

This indemnification obligation includes claims resulting from your implementation of analytics recommendations without proper due diligence, your failure to comply with data protection regulations when using our services, or any unauthorized disclosure of confidential information shared during consulting engagements.

8. Third-Party Links and Services

This website may contain links to third-party websites, applications, cloud platforms, analytics tools, or services that are not owned or controlled by DataVision AI. We have no control over and assume no responsibility for the content, privacy policies, terms of service, or practices of any third-party sites or services.

We do not endorse or make any representations about third-party websites or their content. Your use of third-party websites is at your own risk and subject to the terms and conditions of those websites. We strongly advise you to read the terms of service and privacy policies of any third-party sites or services you visit or use in connection with our consulting recommendations.

9. Privacy and Data Protection

10. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising from or related to these terms or your use of our services must be brought exclusively in the courts located in Toronto, Ontario, Canada.

You irrevocably consent to the jurisdiction and venue of such courts and waive any objection to the jurisdiction or venue of such courts on the grounds of inconvenient forum or otherwise. If you are accessing our services from outside Canada, you are responsible for compliance with local laws in your jurisdiction.

11. Dispute Resolution

In the event of any dispute, controversy, or claim arising from or relating to these Terms of Service or our services, the parties agree to first attempt to resolve the matter through good faith negotiation and informal discussion. Either party may initiate this process by providing written notice to the other party describing the dispute and proposed resolution.

If the dispute cannot be resolved through informal negotiation within 30 days, either party may pursue binding arbitration administered by the ADR Institute of Canada in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Toronto, Ontario, and shall be conducted in English. The arbitrator's decision shall be final and binding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

12. Termination

DataVision AI reserves the right to suspend or terminate your access to this website and our services at any time, with or without notice, for any reason including but not limited to violation of these Terms of Service, fraudulent activity, failure to pay fees, or conduct that we reasonably believe is harmful to other users, our business, or third parties.

Upon termination, your right to use the website and services immediately ceases. All provisions of these Terms of Service that by their nature should survive termination shall survive including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, and governing law provisions. Termination of website access does not automatically terminate ongoing service contracts, which are governed by their respective terms.

13. Changes to Terms

DataVision AI reserves the right to modify or replace these Terms of Service at any time. We will provide notice of material changes by posting a prominent announcement on our homepage or sending an email to registered users at least 14 days before the effective date of the changes.

Your continued use of the website or services after the effective date of any changes constitutes your acceptance of the new Terms of Service. If you do not agree to the modified terms, you must discontinue use of our website and services. We encourage you to review these terms periodically for updates.

14. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent. If modification is not possible, the provision shall be severed from these terms. The remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy and any separate service agreements or statements of work, constitute the entire agreement between you and DataVision AI regarding your use of this website and services. These terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and DataVision AI.
